Desk ERP – Terms & Conditions

 

Effective Date: This agreement becomes effective on the date the client (school/institution) accepts these terms or makes the first payment (whether online or offline), or starts using Desk ERP services , whichever is earlier.

By subscribing to or using Desk ERP, the client (school/institution) agrees to the following legally binding terms:


1. Nature of Service

Desk ERP is a cloud-based software (SaaS) provided “as-is” for school management. DeskERP provides tools for digital management but does not guarantee specific business outcomes or results.


2. Subscription & Payment 

  • All subscriptions are prepaid (monthly/yearly).

  • No refunds will be issued under any circumstances once payment is made.

  • Services will be automatically suspended if payment is not received by the due date.

  • Desk ERP reserves the right to change pricing with prior notice.


3. No Liability for Decisions

Desk ERP is only a software platform.
We are not responsible for any decisions, actions, or outcomes based on the data or reports generated within the system.


4. Data Responsibility & Limitation

  • The client owns its data.

  • Desk ERP will take reasonable efforts to maintain data security.

  • However, Desk ERP is not liable for:

    • Data loss due to user actions

    • Internet/server issues

    • Third-party failures

    • Force majeure events

 Clients are advised to maintain their own backups if required.


5. Service Availability

  • Desk ERP does not guarantee 100% uptime.

  • Temporary downtime may occur due to maintenance, updates, or technical issues.

  • Such downtime shall not be considered a breach of service.


6. Scope of Support

  • Basic onboarding and standard support are included.

  • Any customization, extra training, or additional work is chargeable.

  • Desk ERP is not obligated to provide features beyond the agreed offering.


7. Acceptable Use 

The client agrees NOT to:

  • Reverse engineer, copy, or resell the software

  • Use the platform for illegal activities

  • Share login access with unauthorized users

Violation may lead to immediate suspension without refund.


8. Cancellation & Termination

  • Clients may stop using the service anytime.

  • No refunds for unused period.

  • Desk ERP may terminate/suspend access without notice if:

    • Terms are violated

    • Payment is overdue

    • Misuse is detected


9. Limitation of Liability 

  • Desk ERP shall not be liable for any indirect, incidental, or consequential damages, including:

    • Loss of data

    • Loss of revenue

    • Operational disruption

  • Maximum liability is strictly limited to the amount paid in the last subscription cycle.


10. Intellectual Property Protection

  • All rights to Desk ERP software, design, and branding belong exclusively to DeskERP.

  • Unauthorized copying or distribution will lead to legal action.


11. No Partnership or Employment

Use of Desk ERP does not create any partnership, joint venture, or employment relationship between Desk ERP and the client.


12. Changes to Service or Terms

Desk ERP reserves the right to:

  • Modify features, pricing, or services

  • Update these Terms at any time

Continued use means acceptance of updated terms.


13. Dispute Resolution & Jurisdiction

  • All disputes shall first be attempted to be resolved amicably.

  • Failing which, disputes will fall under the jurisdiction of courts in Lucknow , Uttar Pradesh


14. Force Majeure

Desk ERP shall not be held responsible for failure or delay caused by events beyond control, including natural disasters, government actions, internet outages, or technical failures.


15. Binding Agreement

By using Desk ERP or making payment, the client confirms that they have read, understood, and agreed to these Terms.
